Terms and Conditions
Green Trumpet Design Ltd.
By requesting the design services of Green Trumpet Design Ltd., you agree to the following terms and conditions:
1.0 Authorisation & contact
1.1 You have the relevant authority to request chargeable work
1.2 You agree that any additional requested work, even if requested by a different member of staff, will have been cleared internally before a request for services is made to Green Trumpet Design Ltd..
1.3 You understand that it is your responsibility to ensure this authority has been granted and that you may incur additional costs for additional work or work that exceeds the time, scope and brief originally outlined in early discussions with Green Trumpet Design Ltd..
1.4 30 days’ notice must be given by either party, should they wish to terminate the contract, please note that all deposits are non-refundable and you may still be charged for completed work, even if the project itself does not reach completion.
1.5 Standard working hours for Green Trumpet Design Ltd. are Monday-Friday 09:00-17:00. You understand that work that has been specifically requested to be completed outside of these times may incur additional costs, particularly over a weekend.
1.6 Cancellation of services may be made initially by telephone contact, or email, however, following this, Green Trumpet Design Ltd. will require formal written notification by post. You will then be invoiced for all work completed over and above the non-refundable deposit that will have been made at the time of first ordering. The balance of monies due must be paid within 28 days.
2.0 Your obligations
You agree to:
2.1 Comply with these terms and conditions and in particular, but not limited to, those relating to payment and licensing.
2.2 Provide us promptly with instructions and any further information and/or material we may reasonably request, and in any event within any deadline set out in any request we may make of you.
3.0 Payments
3.1 Acceptance of a quote/estimate must be provided in writing before any design work will commence. It is at this point that a contract is formed between you and Green Trumpet Design Ltd..
3.2 Payments must be made in cleared funds by bank transfer or PayPal without any set off or deduction. No other method will be accepted.
3.3 You understand that, under The Late Payment of Commercial Debts (Interest) Act 1998 and Late Payment of Commercial Debts Regulations 2002 and 2013, you are legally obliged to pay all invoices within 28 days or risk incurring additional costs including statutory interest and statutory compensation on outstanding sums. You will receive two email reminder letters prior to incurring additional fess. Once interest and compensation has been applied, You understand that any outstanding sum relating to an unpaid invoice will increase daily.
3.4 Disputes must be raised within 14 days of the invoice date. If no dispute is raised during this time there will be deemed acceptance of the design work provided by Green Trumpet Design Ltd..
3.5 It is standard policy for all new clients requesting work from Green Trumpet Design Ltd., to pay a non-refundable deposit of 30%. With regards to this deposit, you understand that no work will begin until the necessary payment of the deposit has been received in full by Green Trumpet Design Ltd.. The amount paid for the deposit will be deducted from the final fee. This deposit serves to cover the design labour up to the first proofing stage and therefore is non-refundable at the point in which you review any your proof files, this includes if the design(s)/work is not to your satisfaction.
3.6 If the requested work exceeds £800 you may be asked to make an interim payment which must be paid before design work can continue.
3.7 Work that exceeds the parameters of the outlined estimate will be charged at £60p/h.
3.8 In the event of non-payment of any deposit or interim payment (or any failure by you to provide prompt instructions and further information and/or material we may reasonably request) Green Trumpet Design Ltd. reserves the right to delay or cease work and shall not be liable for any losses resulting from any such delay or cessation.
3.9 Payment instalment plans may be offered on some services, at our discretion and upon prior application and subsequent agreement. We retain the right to refuse an applicant for a payment instalment plan and to decide the terms for the plans. We may withdraw from allowing new applications for payment instalment plans at any stage and without notice. By opting for a payment plan, regardless of its length or value, the full value of the plan is incurred as a debt at the point of being granted, therefore the full amount is due regardless of any changing circumstances throughout the life of the plan. Our payment plans are offered in good faith, and at no additional cost to applicants. We retain the right to apply interest and compensation fees to late and unpaid invoices, see 3.3, this includes individual invoices that are part of a wider payment plan.
4.0 Licensing
4.1 Copyright of all design work is retained by Green Trumpet Design Ltd., including copy, concepts, ideas, proofs, files and illustrations (unless specifically released in writing). You will not be permitted to use any copyright material until all invoices have been settled, this excludes design work supplied via a pre-agreed payment plan in which case you may use the material but under license. In all instances copyright may only transfer to you, upon granted application and following full payment. Licensing of the work may be revoked following non payment.
4.2 Green Trumpet Design Ltd. reserves the right to publish any examples of completed design work, including the use of your logos, in portfolio scenarios both online and in print.
4.3 Where you provide us with images, copy, assets, code, elements or other forms of media, you agree to fully indemnify and hold Green Trumpet Design Ltd. free from harm in any and all claims resulting from your not obtaining all the required copyright, and/or any other necessary permissions for the supplied images, copy, assets, code, elements and other forms of media.
4.4 You also agree that Green Trumpet Design Ltd. holds no responsibility for any amendments made by a third party, before or after a design is published. This relates to both content, file type and file corruption.
4.5 Content, copy (text), drawings, ideas, code and all other creative media created by Green Trumpet Design Ltd., or any of its contractors, is only licensed for use by you on a one-project basis. You do not have permission to re-use, modify or re-distribute this content in any way or form without the prior written consent of Green Trumpet Design Ltd. and any of its relevant sub-contractors. There may be a fee imposed to grant the release of such licenses and creative rights which will vary on a case by case basis and may be determined by Green Trumpet Design Ltd. or their contractors.
4.6 Green Trumpet Design Ltd. is not responsible for any pure economic loss, or consequential loss, non-delivery or failure of products or services, regardless of cause. You agree not to hold Green Trumpet Design Ltd. responsible for any such loss or damage. Any claim against Green Trumpet Design Ltd. shall be limited to the relevant fee(s) paid by you.
4.7 You agree to allow Green Trumpet Design Ltd. to include a small credit on printed material, exhibition displays, advertisements and/or a link to Green Trumpet Design Ltd. own website on your website. This will usually be in the form of a small logo or line of text placed towards the bottom of the page and serves only as a ‘makers mark’.
4.8 You also agree to allow Green Trumpet Design Ltd. to place all designs on Green Trumpet Design Ltd.’s own website for portfolio and demonstration purposes and to use any designs in its own publicity unless agreed otherwise.
5.0 Data Formats/File Types
5.1 Copy (text) is to be supplied in standard formats including .txt (basic text), Microsoft Word (.doc) USB, CD, DVD or via email. Green Trumpet Design Ltd. does not accept responsibility for inconsistencies or erroneous content which occur as a result of corrupt file types, missing fonts, missing characters within a font or other file format related issues.
5.2 Images are to be supplied in electronic format such as jpg, jpeg, png, tiff, psd, ind, ai, svg. Content can be accepted via file sharing websites, email (if the file is small enough), cloud based servers, USB, HDD and CD/DVD.
5.3 Green Trumpet Design Ltd. cannot be held responsible for the reduction in file size and or quality, relating to media that has been compressed or reduced in file size electronically.
5.4 Although Green Trumpet Design Ltd. would aim to inform you against using a poor quality or unsuitable file type that you have supplied, we cannot accept responsibility for poor results relating to content supplied by a third party.
5.5 Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, stock-photo purchases and administration fees, media file format conversion, colour conversion, file formatting, digital image processing, or data entry services.
6.0 Project Duration, Completion and Services
6.1 Whilst we will use reasonable endeavours to comply with any timescales agreed with you, all timescales are estimated and subject to workload, availability of designers and contractors as well as other factors such as I.T. services. Time shall not be of the essence for delivery of services. Green Trumpet Design Ltd. cannot be held responsible for projects deemed to have overrun. Likewise we would ask that you adhere to your promised timescales and are realistic about the work and timescales you are expecting and have mentioned previously. The addition of design further work, not mentioned in your original brief, may increase the overall time taken to complete your project.
6.2 Please note we do not print professionally in-house and as such no quotes automatically include printing costs. We are able to obtain print estimates on your behalf however we accept no responsibly for the quality, accuracy, timescales, delivery or any matter whatsoever relating to a third-party supplier. In the event of a dispute, you must place this with the relevant supplier.
6.3 You will be deemed to have accepted the design files, and accepted that no further amendments are required, should you fail to respond, within 14 days, to our emails containing your design content.
7.0 Web design
7.1 Web design services relate only to the design and layout of your website. We take no responsibility for the reliability, speed, SEO (search engine optimisation) ranking, registration, renewal, maintenance or hosting of your website.
7.2 Upon completion of your website you will have 5 days to make minor amendments which include small textual changes and small adjustments to the placement of items on the page. It does not include changes to colour schemes, theme layouts or any navigation features. Any minor changes can be notified via email or phone. In the event that no such changes are notified to us you are deemed to have accepted the web design.
7.3 Any significant amendments will be subject to further fees and shall not affect the deemed acceptance of the web design.
8.0 Refusal Rights
8.1 Green Trumpet Design Ltd. will not include any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to advertising standards and other authorities.
8.2 Green Trumpet Design Ltd. reserves the right to refuse to include submitted material without giving reason. In the event that Green Trumpet Design Ltd. does include content that they later decide contravenes these Terms and Conditions, you are contractually obliged to remove the contravention without hindrance, or penalty. Green Trumpet Design Ltd. is to be held in no way responsible for any such data being included.
9.0 Disclaimer
9.1 Green Trumpet Design Ltd. reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and is bound by their Terms and Conditions. Green Trumpet Design Ltd. will not knowingly perform any actions to contravene these terms and conditions and you also agree to be so bound. You may, and should, request a copy of our suppliers’ and contractors’ terms and conditions. You can enquire directly, in writing, to Green Trumpet Design Ltd. for a copy of our suppliers’ terms and conditions.
9.2 Green Trumpet Design Ltd. and its clients agree to comply with Printers’ Terms and Conditions which include disclaimers for non-completion on time and the flexibility to supply quantities. You can enquire directly, in writing, to Green Trumpet Design Ltd. for a copy of the Printers’ terms and conditions.
10.0 Changes to Terms and Conditions
10.1 These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Green Trumpet Design Ltd. reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice. All customers will receive a copy of updated terms and conditions.
11.0 Acceptance of Quotation and Terms and Conditions
11.1 The placement of an order for design and/or any other services offered by Green Trumpet Design Ltd., constitutes acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between you and Green Trumpet Design Ltd..
11.2 Acceptance of these terms and conditions is binding from the date written below, and is applicable to all future projects. These terms and conditions form the basis of, and your introduction to, the trading terms of Green Trumpet Design Ltd. and do not wholly refer to standalone projects.
